April 12, 2023 Update: People are wondering if J&J is able to file for bankruptcy once more. The answer is complicated and confusing. However, let’s attempt to explain it clearly.
Johnson & Johnson asserts that bankruptcy is the only way to address both present and future lawsuits involving talc conclusively. It believes it can pay less when there is an element of bankruptcy that puts pressure to settle. Asbestos in talc comercial. Moving past hundreds of years of American history, the company believes that bankruptcy is beneficial to all parties as it distributes settlements more equally and more efficiently than trial courts in which some litigants receive substantial settlements while others get nothing.
The essence in this 3rd Circuit decision was this isn’t a case that involves an enterprise that is profitable, forming a subsidiary to take the legal burden and declare bankruptcy – Congress had in mind when it came to drafting the Bankruptcy Code. J&J claims that its modified financing arrangements with its subsidiary addresses the concerns of the appellate court, while providing funds for claims. It’s as if giving victims lower amounts of money would resolve the problem at hand.
Lawyers representing cancer victims who do not agree with the agreement counter this by arguing that the plaintiff is countering legal nonsense with legal nonsense: J&J fraudulently transferred $50 billion in assets away from LTL Management to circumvent the appeals court’s earlier decision. Hyperbole did not go unnoticed by the victims’ lawyers, who call it the most significant “fraudulent move in United States history.”
Despite all the legal jargon, J&J does not really believe that this bankruptcy will last. But it’s a way of pushing this $8.9 billion settlement, and to keep the pressure on plaintiffs.
April 10 2023 Update: Bloomberg has an interesting article about a new law in New Jersey that is shedding new light on the funding of litigation in the class action lawsuit. Funders of litigation Virage Capital Management and TRGP Capital invested in hundreds of lawsuits against Johnson & Johnson (J&J) regarding talc products, in exchange for a share of any settlements. J&J is now offering to pay $8.9 billion to settle any lawsuits.
The funders’ involvement is made public due to the New Jersey court rule requiring the disclosure of certain information regarding outside funding backers.
